Terms of Service

1. Who you are buying from

AgentGrid is made by SHADERSOURCE, a trading name of Pending Studios Pty Ltd (ABN 42 653 029 255), Australia. Purchases are processed by Stripe, acting as merchant of record: Stripe is the seller named on your receipt and handles payment end to end, calculating, collecting and remitting any sales tax, VAT or GST that applies wherever you are. We never see or hold your card details. Prices are shown in US dollars; any tax due is added at checkout and shown before you pay.

2. What a subscription licenses

Pro is licensed to one named person. It is not a seat that can be shared, passed around a team, or attached to a role — one human being uses it.

Studio is the company licence. It covers a company's first 10 people; further seats are added to the same subscription. A company whose revenue over the trailing twelve months exceeds US$100,000 must buy Studio rather than Pro, however many people use AgentGrid. This is self-certified at purchase: we do not ask for your accounts, and buying Pro is your statement that your company is under the threshold. If your company crosses it, move to Studio at your next renewal.

3. Devices

One licence may be activated on 3 devices at a time. Deactivating a device is self-serve and immediate: sign in, open your account page, and deactivate the one you are finished with. A deactivated device stops being able to renew its entitlement and frees its slot straight away.

4. Free trial

Every subscription starts with a 3-day free trial. No card is required to start it. If you have not added a payment method by the time the trial ends, the subscription simply cancels — nothing is charged and no invoice is issued. If you have added one, the first billing period starts when the trial ends, and you can cancel before then from your account page.

5. Billing, renewal and cancellation

Subscriptions renew automatically, monthly or yearly as bought, until cancelled. Cancel at any time from the billing portal on your account page; access continues to the end of the period already paid for. Refunds are covered separately in our refund policy.

6. Acceptable use

AgentGrid drives other companies' coding-agent tools on your own machine, under your own accounts with those companies, and their terms apply to your use of them. Do not resell, sublicense, or redistribute AgentGrid, and do not share a licence beyond what section 2 allows.

7. The software as it stands

AgentGrid is provided as it is. We do not warrant that it is free of defects or fit for a particular purpose, and to the extent the law allows, our liability is limited to the amount you paid in the twelve months before the claim. Nothing here excludes rights you have under the Australian Consumer Law or under consumer law where you live, which cannot be excluded by agreement.
